Both parties agree to sign a contract with the following terms: ARTICLE 1: CONTENT OF WORK transportation information services and connect customers with transportation needs to Party B. Party B accepts to be Party A's partner and complies with the following requirements: 1. Commitment to providing information about registered means of transport. 2. Commit to providing full information about the owner, driver and other necessary information. 3. Commitment to service price 4. Payment ARTICLE 2: INFORMATION REGISTRATION – Party B must provide vehicle registration license, vehicle insurance, driver's license, health certificate... – Party B must provide Party A with a picture of the driver and a picture of the vehicle – Party B must use a smartphone with Proship's app installed, and always turn on positioning when connecting to the Proship App. – Party B must log in with the correct security ID registered with Party A – Party B provides bank information to Party A to pay for shipping. ARTICLE 3: SHIPPING FREIGHT AND REWARD RATE – The shipping fee will be agreed upon by B and Party A to give the customer a reasonable price as shown in the price list in Appendix 1. – Rates may change from time to time. – When Party B completes the transportation, Party B will represent Party A to collect all money from the customer and reward Party A according to the agreed rate in Appendix 1. ARTICLE 4: CUSTOMER COLLECTION AND PAYMENT 4.1 Payment method: Cash or bank transfer 4.2 Customers pay by bank transfer: – Customers will transfer 100% of the fee to Party A's account. – Party A will transfer the amount of Party B's benefit to Party B's account. 4.3 Customers pay in cash: – Party B will collect the full amount from the customer on behalf of Party A. – Party B will transfer the amount received from Party A ARTICLE 5: CONFIDENTIALITY PROVISIONS – Party B ensures to preserve its ID information, and is not allowed to provide ID to other means of transportation. ARTICLE 6: INDEMNIFICATION PROVISIONS 6.1 Compensation cases: – If the goods transported by Party B are damaged, Party B must be responsible for compensating the customer according to the damage rate of the goods. – If the goods transported by Party B are lost, Party B must be responsible for compensating the customer. 6.2 Compensation: – Party B sends a confirmation of compensation to the customer, which both parties are obliged to do within 1 week at the latest. – Party B confirms Party A's compensation data and signs confirmation on Party A's related documents. 6.3 Exemption from compensation liability: – Force majeure cases due to natural disasters or enemy sabotage. – Indirect damages caused by the loss, damage or deterioration of postal items. – Goods that are prohibited from being sent. Fire or explosion due to causes other than negligence. ARTICLE 7: RIGHTS AND OBLIGATIONS OF PARTY A: 7.1 Have the right to unilaterally terminate the contract if Party B violates one of the obligations specified in Article 3 of the contract. 7.2 Organize to connect Party B's information to the website and App ProShip. Provide customer information to Party B if the customer is located in the area covered by Party B. 7.3 Responsible for promptly notifying Party B of information related to changes in service prices and new policies. 7.4 Ensure information confidentiality and safety for Party B. 7.5 Responsible for resolving Party B's complaints about service quality. ARTICLE 8: RIGHTS AND OBLIGATIONS OF PARTY B: 8.1 Party B has the right to receive customer information in the area under its management 8.2 Party B is fully responsible for the safety and completion of its transportation 8.3 Have the right to request Party A to resolve service complaints according to regulations. 8.4 Have the right to ensure confidentiality and safety of goods according to the provisions of law. 8.5 Responsible for complying with Party A's service regulations 8.6 Make payment to Party A according to the provisions of Article 3 of the contract. ARTICLE 9: OTHER PROVISIONS 9.1 Both parties commit to strictly and fully comply with the terms and conditions stated in the contract. The arising requirements will be agreed upon in writing by the two Parties in the form of a contract appendix and are considered an integral part of the contract. 9.2 Either party wishing to terminate the contract ahead of time must notify the other party in writing at least 15 days and pay all arising debts (if any). 9.3 If a dispute arises, both parties will resolve it through negotiation on the basis of agreement. In case no agreement can be reached, it will be referred to the Ho Chi Minh City Court for judgment according to law. 9.4 This contract is made into 02 (two) copies with equal legal value, Party A keeps 01 copy, Party B keeps 01 copy and is effective from signing the contract until either party has Written request to liquidate the contract.

Note: – The above price does not include VAT – Night delivery surcharge of 30% of car rental price – The above price does not include handling fees – The above price does not include tolls, ferries, and parking fees (if any) 1.2. Insurance of transported goods:
– Cargo insurance is not required. – Customers who do not use cargo insurance services will be compensated for damage at 4 times the shipping cost. – If you use cargo insurance, you will receive a maximum compensation of 100% of the declared order value. ARTICLE 2: BONUS RATE: For each bill of lading that Party A provides to Party B and Party B has completed the above transportation, Party A and B are entitled to benefits according to the following table:
ARTICLE 3: PAYMENT AND TRANSFER OF DEBT: 3.1 Payment conditions and time: – One week after both parties finalize the debt by email confirmation 3.2. Payment methods: – ProShip accepts payment via Vietcombank and ACB or receives cash at the ProShip office. – Proship will send an email confirming the debt and deduct delivery fees at the time of debt payment – Money transfer fee: the recipient bears this fee.
Note : To be paid in cash at ProShip headquarters, please notify ProShip 60 minutes in advance (office hours) and come pick up according to the above schedule. Article 4: GENERAL TERMS – The contract appendix takes effect from the date of signing. – This contract appendix is signed by authorized representatives of the Parties and is made into four (02) copies, with equal legal value, each party keeps two (01) copies.
